Terms of Service
01 Acceptance of Terms
By registering for, accessing, or using our services, you confirm that you are at least 18 years old, have legal capacity to enter into binding agreements, and accept these Terms in full.
We may update these Terms from time to time. Continued use after changes constitutes acceptance. We will notify registered users of material changes via email.
02 Services Description
CyanAds provides AI-driven programmatic advertising infrastructure, including:
- Supply-side platform (SSP) for publishers and app developers
- Demand facilitation for advertisers, brands, and agencies
- Media buyer connectivity and private marketplace (PMP) management
- Real-time bidding (RTB) infrastructure and header bidding solutions
- AI-driven yield optimisation, fraud detection, and analytics
- API access for platform integration
Specific services for each partner are defined in a separate Service Agreement or Order Form.
03 Account Registration & Access
To use certain services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Immediately notify us of any unauthorised access or security breach
- Not share login credentials with any third party
CyanAds reserves the right to suspend or terminate accounts that violate these Terms or where fraudulent activity is suspected.
04 Acceptable Use
You agree not to use our services to:
- Serve advertising on websites or apps containing illegal content
- Generate invalid traffic (IVT), impression fraud, or click fraud
- Misrepresent inventory through domain spoofing or app spoofing
- Collect personal data without a valid legal basis or required consent
- Target advertising to children under 13 without appropriate COPPA safeguards
- Violate IAB Tech Lab guidelines, MRC standards, or applicable advertising laws
- Attempt to reverse-engineer, decompile, or disassemble our technology
- Interfere with the operation of our platform or infrastructure
Zero-tolerance policy: Violations of acceptable use — especially IVT generation and ad fraud — may result in immediate account suspension, withholding of payments, and referral to relevant authorities.
05 Publisher Obligations
Publishers represent and warrant that:
- They own or have the right to monetise the inventory made available
- Their properties comply with all applicable laws and CyanAds' content policies
- They have implemented a GDPR-compliant CMP supporting IAB TCF v2.2 where required
- Their ads.txt / app-ads.txt files accurately reflect authorised selling relationships
- They will not manipulate impressions, sessions, or engagement metrics
06 Advertiser Obligations
Advertisers represent and warrant that:
- Their creatives comply with applicable advertising standards and laws
- They have the right to distribute all content within their creatives
- Their landing pages are safe, functional, and deliver what is advertised
- They will not engage in misleading, deceptive, or fraudulent advertising
- They comply with all applicable data protection laws regarding audience data supplied
07 Payment Terms
- Publisher payments are made on a net-30 or net-60 basis, subject to minimum thresholds
- Advertiser invoices are due within 30 days of invoice date unless otherwise agreed
- CyanAds reserves the right to withhold payments where IVT or policy violations are detected
- Disputed amounts must be raised in writing within 30 days of the invoice date
- Late payments may incur interest at 8% per annum above the Bank of England base rate
08 Intellectual Property
All intellectual property rights in the CyanAds platform, technology, algorithms, brand, and documentation remain the exclusive property of CyanAds Ltd. Nothing in these Terms grants you any right, title, or interest in our intellectual property.
You grant CyanAds a non-exclusive, royalty-free licence to use your brand name and logo for the purpose of providing services and, with prior consent, in marketing materials.
09 Confidentiality
Both parties agree to keep confidential all non-public, proprietary information disclosed in connection with the services. This does not apply to information that: (a) becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; or (c) is required by law or court order to be disclosed.
10 Data Protection
Data protection obligations are set out in the Data Processing Agreement (DPA), which forms part of the overall agreement. Both parties commit to GDPR, UK GDPR, and CCPA compliance as applicable. See also our Privacy Policy.
11 Limitation of Liability
To the fullest extent permitted by law, CyanAds' total aggregate liability shall not exceed the greater of: (a) total fees paid by you in the 3 months preceding the claim; or (b) £500.
CyanAds shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits; loss of data; or business interruption — even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.
12 Warranties & Disclaimer
CyanAds warrants that it will provide services with reasonable skill and care. Except as expressly stated, services are provided "as is" without warranty of any kind. CyanAds does not warrant that services will be uninterrupted, error-free, or meet specific performance targets beyond those agreed in writing.
13 Termination
Either party may terminate on written notice as specified in the Service Agreement. CyanAds may immediately suspend or terminate access for material breach, including acceptable use violations, fraud, or non-payment.
Provisions that by nature survive termination — including confidentiality, payments, intellectual property, and limitation of liability — continue to apply.
14 Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
Before legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days.
